PART I: MASTER TERMS AND CONDITIONS & TERMS OF USE
1. Acceptance of Terms and Applicability
1.1. Binding Agreement. This Comprehensive Master Agreement (the "Agreement") is a legally binding contract between you ("User," "You," or "Your") and Seymour's Boatyard Inc., its parent companies, subsidiaries, affiliates, successors, and assigns (collectively, "Seymour's Boatyard," "Company," "We," "Us," or "Our"). This Agreement governs your access to and use of the Seymour's Boatyard mobile application, website, related software, servers, and all associated services (collectively, the "App" or "Services").
1.2. Express Consent. By downloading, installing, accessing, or using the App in any manner, you expressly acknowledge that you have read, understood, and agree to be bound by the entirety of this Agreement, including the Privacy Policy and the Arbitration Agreement. If you do not agree to all terms herein, you must immediately cease all use of the App and delete it from all your devices.
1.3. Modifications. We reserve the right, at our sole and absolute discretion, to modify, amend, add, or remove portions of this Agreement at any time. We will provide notice of material changes by sending an email, posting a notice within the App, or updating the "Effective Date" at the top of this document. Your continued use of the App following the posting of any changes constitutes your binding acceptance of such changes.
2. Definitions
2.1. "Account" means the digital identity and associated data profile created by a User within the App to access the Services.
2.2. "Content" means any text, graphics, images, music, software, audio, video, information, or other materials.
2.3. "Location Data" means real-time GPS coordinates, historical tracking data, routing information, and mooring placement derived from a User's mobile device.
2.4. "Mooring Location" means the specific geographical coordinates or physical slip/buoy assignment where a User's Vessel is secured within the jurisdiction of Seymour's Boatyard.
2.5. "Personal Information" means any information relating to an identified or identifiable natural person, as further detailed in the Privacy Policy.
2.6. "User Content" means any Content that a User uploads, publishes, submits, or transmits to be made available through the App, including Vessel Images.
2.7. "Vessel" means any boat, ship, yacht, personal watercraft, or other maritime vehicle registered or managed through the App.
2.8. "Vessel Images" means photographs, videos, or visual representations of a User's Vessel uploaded to or captured via the App.
3. Eligibility and Account Registration
3.1. Age Requirement. The App is intended solely for individuals who are at least eighteen (18) years of age, or the legal age of majority in their jurisdiction of residence. By using the App, you represent and warrant that you meet this requirement.
3.2. Account Creation. To access certain features, you must register for an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.3. Account Security. You are solely responsible for safeguarding your password and Account credentials. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your Account, whether or not you have authorized such activities or actions. You must immediately notify Seymour's Boatyard of any unauthorized use of your Account.
3.4. Identity Verification. Seymour's Boatyard reserves the right to require identity verification, including the submission of government-issued identification, vessel registration documents, and insurance certificates, prior to granting full access to the App's functionalities.
4. Core Application Services: Navigation, Mooring, and Location Tracking
4.1. Navigation Features. The App provides digital mapping, routing, depth estimation, and navigational assistance. You acknowledge and agree that these features rely on third-party mapping services and GPS technologies that may be inaccurate, delayed, or subject to interference.
4.2. MANDATORY LOCATION SHARING FOR NAVIGATION. As a fundamental condition of using the App's core services, you explicitly consent to the continuous collection, processing, and utilization of your mobile device's Location Data. This data is utilized to provide turn-by-turn navigation, calculate estimated times of arrival (ETAs), coordinate boatyard traffic, and optimize mooring assignments. If you disable location services on your device, the App will not function as intended, and Seymour's Boatyard assumes no liability for service interruptions or navigational difficulties arising from the restriction of Location Data.
5. Consent to Data Storage, Vessel Imagery, and Intra-App Visibility
This section outlines the specific, irrevocable consents you grant regarding your data, your vessel, and how it is shared within the Seymour's Boatyard ecosystem. This is an essential component of maintaining safety, logistics, and community awareness in the boatyard.
5.1. Storage of Personal Details. You explicitly consent to Seymour's Boatyard collecting, encrypting, and persistently storing your Personal Information (including name, contact details, vessel registration, and payment information) on secure servers for the duration of your Account lifecycle and beyond, as dictated by our retention policies and legal obligations.
5.2. Vessel Imagery Storage and Usage. You agree to provide, or allow the App to capture, high-resolution Vessel Images. You grant Seymour's Boatyard a perpetual, worldwide, non-exclusive, royalty-free license to store, process, and display these images within the App for identification, security, and administrative purposes.
5.3. Mooring Location Synchronization. You agree that your assigned and real-time Mooring Location will be continuously tracked, stored in our database, and synchronized in real-time between your device and the Seymour's Boatyard administration systems. This is vital for slip management, emergency response, and billing.
5.4. INTRA-APP VISIBILITY AND PUBLIC SHARING (IRON CLAD CLAUSE). To facilitate a safe, transparent, and coordinated marine environment, you expressly agree to the following visibility matrix within the App:
- What is Visible to Other Customers: Your Vessel's name, the Vessel Images, your general and specific Mooring Location, and your Vessel's status (e.g., "At Mooring," "In Transit") WILL BE VISIBLE AND SEARCHABLE by other authenticated users and customers within the App. This acts as a digital marina directory.
- What is STRICTLY PRIVATE: Your Personal Information—including your legal name, physical home address, phone number, email address, billing details, and specific transit routes—WILL NEVER BE VISIBLE to other regular users. This data is firewalled and accessible only to Seymour's Boatyard administration and authorized personnel.
By using the App, you waive any claims to privacy regarding the public visibility of your Vessel's name, image, and Mooring Location as described above. You acknowledge that this specific level of transparency is a condition of entry and use of Seymour's Boatyard facilities and software.
6. End User License Agreement (EULA)
6.1. License Grant. Subject to your strict compliance with this Agreement, Seymour's Boatyard grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use a copy of the App on a single mobile device or computer that you own or control, solely for your personal, non-commercial maritime and mooring purposes.
6.2. Restrictions. You agree not to, and you will not permit others to: (a) License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the App; (b) Copy or use the App for any purpose other than as permitted in Section 6.1; (c) Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the App; (d) Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Seymour's Boatyard or its affiliates, partners, suppliers, or the licensors of the App.
7. Prohibited Conduct and Acceptable Use Policy
You agree not to do any of the following while using the App or Services:
- Post, upload, publish, submit, or transmit any Content that infringes, misappropriates, or violates a third party’s patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, or rights of publicity or privacy.
- Use the App in any manner that could disable, overburden, damage, or impair the App or interfere with any other party’s use of the App.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the App, the server on which the App is stored, or any server, computer, or database connected to the App.
- Use any robot, spider, crawler, scraper, or other automated means or interface not provided by us to access the App or to extract data.
- Use the App for any illegal or unauthorized purpose, including violating any maritime laws, international waters treaties, or local port authority regulations.
- Harass, threaten, demean, or defraud other users of the App or Seymour's Boatyard staff.
- Falsify vessel specifications, insurance documents, or registration numbers.
8. User Content and Intellectual Property Rights
8.1. Company IP. The App and Services, including all software, algorithms, UI/UX designs, trademarks, service marks, and logos contained therein, are owned by or licensed to Seymour's Boatyard, subject to copyright and other intellectual property rights under international laws and conventions. You are granted no right or license with respect to any of the aforesaid intellectual property.
8.2. License to User Content. By posting User Content (including Vessel Images and reviews) on or through the App, you grant Seymour's Boatyard a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit such User Content in connection with providing and promoting the App and Services.
9. Maritime Disclaimers, Assumption of Risk, and Safety Notices
9.1. NOT A REPLACEMENT FOR OFFICIAL CHARTS. THE APP'S NAVIGATION, ROUTING, DEPTH SOUNDING, AND WEATHER FEATURES ARE PROVIDED STRICTLY FOR CONVENIENCE AND SUPPLEMENTAL SITUATIONAL AWARENESS. THEY ARE ABSOLUTELY NOT TO BE USED AS A REPLACEMENT FOR OFFICIAL GOVERNMENT-ISSUED NAUTICAL CHARTS, NOTICES TO MARINERS, APPROVED RADAR, OR PRUDENT SEAMANSHIP. YOU AGREE THAT RELIANCE ON THE APP FOR CRITICAL NAVIGATION IS STRICTLY PROHIBITED.
9.2. Assumption of Maritime Risks. Operating a vessel carries inherent risks including, but not limited to, collision, grounding, sinking, severe weather, mechanical failure, injury, and death. You acknowledge that Seymour's Boatyard has no control over these risks, weather conditions, tides, underwater hazards, or the actions of other vessel operators. YOU VOLUNTARILY AND EXPRESSLY ASSUME ALL RISKS ASSOCIATED WITH OPERATING YOUR VESSEL AND UTILIZING THE APP'S DATA.
9.3. Master's Responsibility. The User (as the Master or operator of the Vessel) retains absolute, non-delegable responsibility for the safe navigation, operation, and mooring of their Vessel at all times. Seymour's Boatyard shall bear no liability for any physical damage, loss of property, environmental damage, or personal injury occurring while the User is navigating or mooring, regardless of whether the User was utilizing the App at the time.
10. Fees, Billing, and Payment Terms
10.1. Subscription and Service Fees. Access to certain premium features of the App, as well as physical mooring reservations, may require payment of fees. All fees are stated in the local currency or USD, depending on your region, and are exclusive of applicable taxes unless otherwise stated.
10.2. Payment Processing. We use third-party payment processors (e.g., Stripe, PayPal, Apple Pay) to bill you. By providing a payment method, you expressly authorize us (and our third-party processors) to charge you for the fees. You agree to provide current, complete, and accurate billing information.
10.3. No Refunds. Unless explicitly required by applicable consumer law, all purchases and subscription fees paid via the App are final and non-refundable. Mooring cancellation policies are governed by separate physical contracts executed with the boatyard.
11. Modification, Suspension, and Termination of Services
11.1. We may, at our sole discretion, change, suspend, or terminate the App or Services (or any features thereof) at any time, for any reason, with or without notice.
11.2. We may suspend or terminate your Account and access to the App immediately, without prior notice or liability, if you breach any term of this Agreement, fail to pay applicable fees, or engage in conduct that we determine is harmful to Seymour's Boatyard, other users, or third parties.
12. Indemnification
You agree to defend, indemnify, and hold harmless Seymour's Boatyard, its affiliates, and their respective officers, directors, employees, agents, contractors, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of, or inability to use, the App or Services;
- Your breach or violation of this Agreement or any applicable law or regulation;
- Your violation of any rights of any third party, including intellectual property rights or privacy rights;
- Any maritime accident, collision, grounding, or environmental incident involving your Vessel;
- Any User Content you upload or transmit through the App.
Seymour's Boatyard reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with us in asserting any available defenses.
13. Disclaimers of Warranties
THE APP, SERVICES, AND ALL CONTENT AND LOCATION DATA THEREIN ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEYMOUR'S BOATYARD EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SEYMOUR'S BOATYARD DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, BUG-FREE, VIRUS-FREE, OR FREE OF MALICIOUS CODE; THAT THE APP WILL MEET YOUR REQUIREMENTS; THAT THE NAVIGATION DATA, GPS LOCATION, OR DEPTH READINGS WILL BE ACCURATE, RELIABLE, OR TIMELY; OR THAT ANY DEFECTS IN THE APP WILL BE CORRECTED.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEYMOUR'S BOATYARD, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA (INCLUDING VESSEL AND LOCATION DATA), OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
UNDER NO CIRCUMSTANCES SHALL SEYMOUR'S BOATYARD BE LIABLE FOR ANY PHYSICAL DAMAGE TO YOUR VESSEL, INJURY TO PERSONS, OR DEATH RESULTING FROM YOUR RELIANCE ON THE APP'S NAVIGATION OR MOORING FEATURES. YOUR EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE APP IS TO STOP USING THE APP.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF SEYMOUR'S BOATYARD EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID TO US IN THE PAST TWELVE (12) MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.
15. Dispute Resolution, Binding Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT SIGNIFICANTLY AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
15.1. Initial Dispute Resolution. We are available by email to address any concerns you may have regarding your use of the App. Most concerns may be quickly resolved in this manner. The parties shall use their best efforts to settle any dispute, claim, question, or disagreement directly through consultation and good faith negotiations, which shall be a precondition to either party initiating a lawsuit or arbitration.
15.2. Binding Arbitration Agreement. If the parties do not reach an agreed-upon solution within a period of thirty (30) days from the time informal dispute resolution is pursued, then either party may initiate binding arbitration. All claims arising out of or relating to this Agreement (including its formation, performance, and breach), the parties' relationship with each other, and/or your use of the App shall be finally settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with the provisions of its Commercial Arbitration Rules and the supplementary procedures for consumer-related disputes.
15.3. Arbitrator Powers. The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of this Agreement, including, but not limited to, any claim that all or any part of this Agreement is void or voidable.
15.4. Class Action Waiver. THE PARTIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Furthermore, unless both you and Seymour's Boatyard agree otherwise, the arbitrator may not consolidate more than one person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding.
PART II: COMPREHENSIVE PRIVACY POLICY
1. Introduction and Scope
Seymour's Boatyard ("we," "us," or "our") respects your privacy and is committed to protecting it through our compliance with this Comprehensive Privacy Policy. This policy describes the types of information we may collect from you or that you may provide when you visit the Seymour's Boatyard app, and our practices for collecting, using, maintaining, protecting, and disclosing that information. This policy applies to all users worldwide and is designed to comply with rigorous global privacy frameworks including the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA) as amended by the CPRA, and the Protection of Personal Information Act (POPIA).
2. Exhaustive Information Collection
To operate a complex maritime navigation and mooring ecosystem, we must collect extensive data points. By using the App, you consent to the collection of:
- Personal Identifiers: Legal name, alias, postal address, unique personal identifier, online identifier, Internet Protocol (IP) address, email address, account name, social security number (if required for tax/docking regulations), driver's license number, or passport number.
- Vessel Data: Make, model, year, length, draft, beam, registration numbers, MMSI number, insurance policy details, port of registry, and mechanical specifications.
- Vessel Visual Data: High-resolution photographs, 360-degree scans, or videos of your vessel (the "Vessel Images") uploaded by you or captured by our staff at the docks.
- Precise Geolocation Data (MANDATORY): Continuous real-time tracking of your mobile device's GPS coordinates, heading, speed, and elevation, both while the App is in the foreground and running in the background.
- Mooring Logistics: Historical and current slip assignments, dock usage frequency, arrival/departure timestamps, and shore power/water utility consumption metrics.
- Financial Data: Bank account numbers, credit/debit card numbers, transaction history, billing addresses, and payment gateways routing information.
- Device and Usage Data: Device hardware models, operating systems and versions, software, file names and versions, preferred languages, unique device identifiers, advertising identifiers, serial numbers, device motion information, and mobile network information.
3. Purpose and Utilization of Data
We do not collect data arbitrarily. Your data is strictly utilized for the following business and operational purposes:
- Navigational Rendering: Plotting your real-time position against digital nautical charts to provide depth warnings, routing, and ETA.
- Mooring Management: Assigning physical slips, coordinating dockhands, and managing the physical space within Seymour's Boatyard based on your vessel's dimensions and live location.
- Safety and Emergency Response: In the event of an SOS signal or severe weather, utilizing your last known location and vessel details to coordinate with coast guards or local authorities.
- Financial Processing: Facilitating secure payments for mooring fees, services, fuel, and utilities.
- App Optimization: Analyzing usage patterns to debug errors, improve UI/UX, and train our predictive algorithms for traffic management in the marina.
- Legal Compliance: Fulfilling requirements mandated by maritime law, port authorities, and local tax jurisdictions.
4. Data Sharing and the "Intra-App Visibility" Framework
This section is critical and outlines the exact boundaries of how your data is shared. Seymour's Boatyard operates on a model of "Shared Situational Awareness" for safety and logistical efficiency.
4.1. What is Publicly Shared within the App Ecosystem:
By creating an account, you explicitly consent to the following information being broadcast and visible to ALL other registered users of the Seymour's Boatyard App:
- Your Vessel's Name (e.g., "Sea Breeze").
- The Vessel Images you have uploaded or we have captured.
- Your Vessel's Dimensions (Length/Draft).
- Your specific, real-time Mooring Location (e.g., "Dock C, Slip 42").
- Your Current Status (e.g., "Moored," "Arriving in 10 mins," "Departed").
Justification: This visibility allows other captains to know who is docked next to them, anticipate incoming vessels in narrow channels, and report issues (like a loose line) regarding specific vessels. You waive any right to privacy concerning the visibility of this specific dataset within the App environment.
4.2. What is STRICTLY CONFIDENTIAL and Never Shared with Users:
The following information is firewalled and visible ONLY to you and authorized Seymour's Boatyard administrators:
- Your Legal Name and Physical Address.
- Your Email Address and Phone Number.
- Your Financial and Payment Information.
- Your precise GPS route history outside the immediate boundaries of the boatyard.
- Your Account Passwords and Security Questions.
4.3. Third-Party Sharing:
We may share your data with trusted third-party service providers (e.g., AWS for hosting, Stripe for payments, Mapbox for charts) under strict non-disclosure agreements. We will also share your data with law enforcement or maritime authorities (e.g., Coast Guard) if compelled by subpoena, court order, or in life-or-death emergency situations.
5. Tracking Technologies and Cookies
We and our third-party partners use cookies, web beacons, pixels, and similar tracking technologies to collect information about your interactions with the App. These technologies help us recognize your device, remember your preferences, and understand your usage patterns. You may control cookie settings through your mobile device or browser settings, but disabling essential cookies may render the App inoperable.
6. Data Security Measures
We implement highly robust, enterprise-grade, commercially reasonable physical, technical, and administrative security measures designed to protect your Personal Information from accidental loss and unauthorized access, use, alteration, and disclosure. This includes end-to-end encryption for payment data, AES-256 encryption for database storage, and strict role-based access controls for our staff. However, transmission of information via the internet and mobile networks is never completely secure. We cannot guarantee the absolute security of your data.
7. Data Retention
We retain your Personal Information for as long as your Account is active or as necessary to fulfill the purposes outlined in this policy. When you delete your Account, we will delete or anonymize your data, EXCEPT for data that we are required to retain by maritime law, tax regulations, or for the establishment, exercise, or defense of legal claims (which may be retained for up to 7 years).
8. Global Privacy Compliance (CCPA, GDPR, POPIA)
Depending on your jurisdiction, you have specific rights regarding your data:
- Right to Access: You can request a copy of the specific pieces of personal data we have collected about you.
- Right to Deletion: You can request that we delete your data, subject to the legal and operational exceptions mentioned in Section 7.
- Right to Rectification: You have the right to correct inaccurate data.
- Do Not Sell My Personal Information (CCPA): SEYMOUR'S BOATYARD DOES NOT SELL YOUR PERSONAL INFORMATION TO THIRD PARTIES FOR MONETARY GAIN.
- Withdrawal of Consent: You may withdraw your consent for location tracking at any time via device settings; however, doing so immediately terminates your ability to use the App's navigational and mooring services.
9. Entire Agreement and Severability
This Master Agreement constitutes the sole and entire agreement between you and Seymour's Boatyard regarding the App and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. If any provision of this Agreement is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Agreement will continue in full force and effect.
